Terms of Service

Please read these Terms of Service ("Terms") carefully before using Plenie. By accessing or using the Plenie platform at plenie.com (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. About Plenie
Plenie is a contract-to-payment platform for freelancers and independent professionals. It enables you to create and send contracts, collect electronic signatures, generate invoices, and receive payments from your clients — all in one place.
2. Account Registration
To use Plenie, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials secure and confidential
- Promptly update your information if it changes
- Notify us immediately at hello@plenie.com if you suspect unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You must be at least 18 years old and have the legal authority to enter into contracts in your jurisdiction to use Plenie.
3. Your Use of the Service
Acceptable Use
You agree to use Plenie only for lawful purposes and in connection with legitimate freelance or business activity. You agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose
- Send contracts or invoices for services you do not intend to provide
- Upload or transmit harmful, threatening, defamatory, or offensive content
- Impersonate another person or entity
- Attempt to gain unauthorized access to Plenie's systems or infrastructure
- Interfere with the proper operation of the Service
- Use automated tools to access the Service without our written permission
Your Contracts and Content
You are solely responsible for the contracts, invoices, and other content you create and send through Plenie. Plenie provides legally reviewed templates as a starting point, but we are not a law firm and do not provide legal advice. We strongly recommend reviewing all contracts with a qualified attorney before use, particularly for high-value or complex engagements.
By uploading or creating content on Plenie, you represent and warrant that:
- You have the right to use and share that content
- The content does not infringe any third party's intellectual property rights
- The content complies with applicable laws
You retain full ownership of the contracts, invoices, and content you create on Plenie.
Client Data
When you add clients to your account and send them contracts or invoices, you are responsible for ensuring you have a lawful basis for sharing their personal information with Plenie and that they are aware their data will be processed. You act as a data controller for your clients' data, and Plenie acts as a data processor on your behalf.
4. Platform Fee and Payment Terms
Platform Fee
Plenie charges a flat fee of $4.99 per successfully completed payment transaction (the "Platform Fee"). There is no subscription, monthly fee, or setup cost. The Platform Fee is deducted automatically from each payment your client makes through Plenie.
Example: If your client pays a $1,000 invoice through Plenie, you receive $995 and Plenie retains $4.99.
Payment Processing
All payments are processed through Stripe, Inc. By using Plenie's payment features, you also agree to Stripe's Terms of Service. You must complete any identity verification or onboarding steps required by Stripe to receive payouts.
Payouts
Funds are transferred to your connected bank account according to Stripe's standard payout schedule. Plenie does not hold funds beyond what is necessary to facilitate the transaction.
Refunds and Disputes
Platform Fees are non-refundable except where required by law. If a payment is disputed, charged back, or reversed by a client, Plenie may recover any Platform Fees or associated costs from you. You are responsible for resolving payment disputes with your clients directly.
5. Electronic Signatures
Plenie facilitates the collection of electronic signatures on contracts. By using this feature, you and your clients agree that electronic signatures collected through Plenie are legally binding to the same extent as handwritten signatures, in accordance with applicable electronic signature laws including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
You are responsible for ensuring that the use of electronic signatures is valid and enforceable in the jurisdiction(s) where your contracts will be performed.
6. Intellectual Property
Plenie's IP
All aspects of the Plenie platform — including software, design, templates, branding, and documentation — are owned by or licensed to Plenie and protected by intellectual property laws. Nothing in these Terms transfers ownership of Plenie's intellectual property to you.
Contract Templates
Plenie provides legally reviewed contract templates for your use. You may customize and use these templates for your own freelance or business engagements. You may not resell, sublicense, or distribute Plenie's templates as your own product.
Your Content
You retain ownership of all contracts, invoices, and other content you create on Plenie. You grant Plenie a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the Service.
7. Termination
By You
You may close your Plenie account at any time from your account settings. Outstanding Platform Fees and any amounts owed to Plenie remain due upon termination.
By Plenie
We may suspend or terminate your account at our discretion, with or without notice, if we believe you have violated these Terms, engaged in fraud, or created legal or regulatory risk for Plenie or its users.
Upon termination, your right to use the Service ceases immediately. We may retain your data as described in our Privacy Policy and as required by law.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. PLENIE DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
- ANY CONTRACTS CREATED USING PLENIE TEMPLATES WILL BE LEGALLY ENFORCEABLE IN YOUR JURISDICTION
- PAYMENTS COLLECTED THROUGH PLENIE WILL NOT BE SUBJECT TO DISPUTE OR CHARGEBACK
PLENIE IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. USE OF OUR CONTRACT TEMPLATES DOES NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLENIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF REVENUE OR INCOME
- LOSS OF DATA
- FAILURE TO COLLECT PAYMENT FROM A CLIENT
- ANY OUTCOME ARISING FROM A CONTRACT YOU CREATED USING PLENIE
IN NO EVENT SHALL PLENIE'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL PLATFORM FEES YOU PAID TO PLENIE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.
10. Indemnification
You agree to indemnify, defend, and hold harmless Plenie and its affiliates from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of:
- Your use of the Service
- Your violation of these Terms
- Any contract you create or send through Plenie
- Your violation of any third party's rights
- Any dispute between you and your clients
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on plenie.com and, where appropriate, by email. Your continued use of Plenie after the effective date of any changes constitutes your acceptance of the new Terms.
12. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the courts located in Florida.
